Terms of Service

1. Definitions

In these Terms of Service:

• "SafeHalo" or "we" means SafeHalo Technologies Inc., incorporated in Alberta, Canada.
• "FocusEd" or the "Platform" means the classroom focus management system, including the School Admin Portal, the Parent App, the Student App, and all associated infrastructure and services.
• "School" means a K-12 educational institution that has registered to use FocusEd.
• "School Administrator" means a staff member authorized by the School to configure and manage FocusEd.
• "Parent" means a parent or legal guardian who has enrolled a student's device in FocusEd.
• "Student" means a minor whose device has been enrolled in FocusEd by a Parent.
• "User" means any School Administrator, Parent, or Student using the Platform.

2. Acceptance of Terms

By accessing or using any part of the FocusEd Platform, you confirm that you have read, understood, and agree to be bound by these Terms of Service and our Privacy Policy.

If you are using FocusEd on behalf of a school or organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you must not use the Platform.

3. Description of the Platform

FocusEd is an automated classroom focus system that:

• Uses Bluetooth Low Energy (BLE) beacon proximity detection to determine when a student's enrolled device is in a registered classroom zone.
• Activates device restrictions (using iOS Screen Time Family Controls and Android Device Policy Controller) during scheduled class periods.
• Enforces a school-defined whitelist of permitted apps and communication contacts.
• Notifies parents of tamper attempts and restriction events.
• Automatically deactivates restrictions when the student leaves the classroom zone or the class period ends.

FocusEd requires BLE-compatible beacons installed in classrooms. Beacon hardware is not provided by SafeHalo and is the School's responsibility to procure and install.

4. Eligibility

Schools: FocusEd is available to accredited K-12 educational institutions. By registering, the School represents that it is a legitimate educational institution and that the administrator completing registration is authorized to do so.

Parents: You must be 18 years of age or older and be the legal parent or guardian of the student whose device you are enrolling. By enrolling a student device, you confirm that you have the legal authority to consent to the installation of device management software on that student's personal device.

Students: Students do not create accounts independently. Student devices are enrolled through the Parent enrollment flow only.

5. School Accounts and Responsibilities

Schools using FocusEd agree to:

• Use the Platform only for legitimate educational purposes within the School's facilities.
• Ensure that all app whitelist configurations and classroom zones are configured accurately and updated promptly when schedules change.
• Communicate clearly with students and their parents about the existence and scope of FocusEd before asking parents to enroll student devices.
• Maintain the security of their administrator credentials and promptly notify SafeHalo of any unauthorized access.
• Procure and install compatible BLE beacons in classrooms. SafeHalo will provide hardware specifications upon request.
• Not use FocusEd to monitor, track, or restrict student devices in non-educational settings, including bathrooms, change rooms, or locations outside School property.
• Ensure that emergency services and parent communication remain accessible to students at all times, as FocusEd is designed to preserve these by default.

6. Parent and Guardian Accounts

Parents using FocusEd agree to:

• Enroll only devices belonging to their own children or wards for whom they hold legal guardianship.
• Complete the full enrollment flow, including granting the required device permissions (iOS Screen Time Family Controls or Android Device Policy Controller), before the platform can operate on the student's device.
• Keep their contact information and emergency contact list current within the Parent App.
• Understand that device restrictions are automatic and timetable-based — SafeHalo does not manually activate restrictions.
• Maintain an active subscription to maintain enrollment. An inactive or cancelled subscription will result in restriction enforcement ceasing on the enrolled device.

Parents retain the right to unenroll their child's device at any time. Upon unenrollment, restrictions will cease immediately.

7. Student Use

Students using FocusEd agree to:

• Not attempt to circumvent, bypass, or disable the FocusEd Student App or its device management permissions during active restriction periods.
• Not attempt to delete or uninstall the Student App without parental knowledge.
• Understand that tamper attempts are automatically detected and reported to their parent or guardian.

FocusEd does not prevent students from accessing emergency services (911) or contacting approved contacts at any time. These exceptions are always active regardless of restriction status.

8. Subscriptions and Billing

Subscription Plans

FocusEd operates on a subscription model billed to parents. Monthly and annual subscription plans are available. Pricing is displayed within the Parent App at the time of enrollment.

Free Pilot Period

Schools and parents participating in the FocusEd Alberta pilot program may be offered a free access period. The terms and duration of any pilot arrangement will be communicated in writing separately.

Payment Processing

All payments are processed by Stripe, Inc. SafeHalo does not store payment card details. Stripe's terms of service apply to payment processing.

Cancellation

Parents may cancel their subscription at any time through the Parent App. Cancellation takes effect at the end of the current billing period. No partial refunds are issued for unused periods unless required by applicable Canadian consumer protection law.

Failed Payments

If a subscription payment fails, SafeHalo will attempt to retry the charge. If the payment cannot be collected, restriction enforcement on the enrolled device will be suspended until the subscription is renewed.

9. Acceptable Use

You agree not to use the FocusEd Platform to:

• Monitor, surveil, or track students beyond the scope of classroom focus management.
• Restrict device access outside of scheduled class periods or outside registered classroom zones, except as expressly supported by the platform.
• Collect, harvest, or scrape any data from the platform beyond your own account data.
• Attempt to reverse-engineer, decompile, or modify any part of the platform.
• Introduce viruses, malware, or any malicious code into the platform.
• Impersonate another user, school, or person.
• Violate any applicable Canadian federal or provincial law.

10. Intellectual Property

All intellectual property in the FocusEd Platform — including software, algorithms, user interface design, documentation, and branding — is owned by SafeHalo Technologies Inc. or its licensors.

SafeHalo's core distraction-prevention technology is protected by patent. Unauthorized use, reproduction, or commercialization of our technology is prohibited.

Nothing in these Terms grants you any right, title, or interest in SafeHalo's intellectual property beyond a limited licence to use the Platform for its intended purpose.

You retain ownership of any data you provide to the Platform (school configurations, student roster data, emergency contacts). You grant SafeHalo a limited licence to process that data solely to provide the service.

11. Privacy and Data

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using FocusEd, you consent to our data practices as described in the Privacy Policy.

We comply with Canada's Personal Information Protection and Electronic Documents Act (PIPEDA). Schools in Alberta should also refer to the Freedom of Information and Protection of Privacy Act (FOIP) in their own operations.

12. Disclaimers

FocusEd is provided "as is" and "as available". While we work hard to maintain a reliable and accurate platform, we make no warranties regarding:

• The uninterrupted or error-free operation of the Platform.
• The accuracy of beacon proximity detection in all physical environments.
• The availability of third-party services we rely on (Apple APNs, Google FCM, Stripe).
• The Platform's ability to prevent all possible forms of device tampering.

BLE beacon detection depends on physical environment conditions, device Bluetooth settings, and operating system versions. SafeHalo does not guarantee detection within any specific time window in all environments, though our target is within 30 seconds of zone entry under standard conditions.

FocusEd is a tool to support classroom management — it is not a substitute for school policies, teacher supervision, or parental engagement.

13. Limitation of Liability

To the maximum extent permitted by applicable Canadian law, SafeHalo Technologies Inc. will not be liable for:

• Any indirect, incidental, special, consequential, or punitive damages.
• Loss of data, loss of profits, or business interruption.
• Any damages arising from your reliance on the Platform as a complete solution to classroom phone management.
• Failures of third-party hardware (BLE beacons) or third-party services (Apple, Google, Stripe).

SafeHalo's total cumulative liability to any User in connection with the Platform will not exceed the amount paid by that User (or their school) to SafeHalo in the 12 months preceding the claim.

14. Termination

By you: Schools may terminate their account at any time by contacting hello@focused.education. Parents may cancel their subscription at any time through the Parent App. Upon termination, restriction enforcement ceases on all enrolled devices associated with the account.

By SafeHalo: We reserve the right to suspend or terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to the safety or privacy of users. We will provide reasonable notice before termination except where immediate action is required for safety reasons.

Upon termination, your right to use the Platform ceases immediately. Data deletion following termination is governed by our Privacy Policy.

15. Governing Law

These Terms of Service are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Platform will be resolved in the courts of Alberta, Canada. You consent to the exclusive jurisdiction of those courts.

16. Changes to These Terms

We may update these Terms from time to time. When we do:

• We will update the "Last updated" date at the top of this page.
• We will notify registered users by email at least 30 days before material changes take effect.
• Continued use of the Platform after the effective date of changes constitutes your acceptance of the updated Terms.

If you do not agree to the updated Terms, you must stop using the Platform and cancel your account before the effective date.
